Terms and conditions of sale.

These General Terms and Conditions of Sale (T&Cs) govern sales made on the site cahierautonome.fr, published by VSBG, SASU (French simplified joint-stock company with a single shareholder). The site sells exclusively downloadable digital products, in particular studios delivered as standalone files. Products are sold under an annual licence; the price and, where applicable, the length of the free trial are stated on each product page. Orders placed before the latest update of these T&Cs remain governed by the terms in force on the day of the order. Any order or subscription implies full acceptance of these T&Cs.

The products offered are exclusively downloadable digital content (documents, templates, guides, files, digital resources, licenses or any other digital content). The studios are standalone files run locally in the customer's browser, where the customer stores their working data on their device. Each studio connects to VSBG's server to check the licence. Depending on the studio, other features also go through a server: an encrypted shared logbook, forms sent to the customer's own clients, public data services. Each product page and the Privacy policy state what goes through a server, when and why. Each product page describes the main characteristics of the content sold and its business model. Visuals are not contractual.

Prices are shown in euros and are the total amount paid. VAT not applicable — article 293 B of the French General Tax Code. The price of a licence is stated per year. The applicable prices are those displayed at the time the order or subscription is validated.

Payment is secured and handled by Stripe. The subscription to an annual licence is validated when the payment method is saved; when a free trial is offered, nothing is charged during the trial and the first payment is made automatically at its end, unless cancelled before that date. Payment data is processed by Stripe: no banking data is stored on cahierautonome.fr servers.

When a product is offered under an annual licence: a free trial may be offered, its length is then stated on the product page; the payment method is saved at subscription and nothing is charged during the trial; at the end of the trial, the licence is invoiced for a one-year period, then renewed automatically every year unless cancelled. The customer can cancel at any time from the Stripe customer portal, accessible from the studio (“Manage my subscription” button). Cancelling during the trial means nothing is charged. Cancelling after a payment takes effect at the end of the period already paid: the licence is not renewed and access to the studio remains open until that date. The price paid at subscription stays the same at each renewal, as long as the licence is renewed without interruption; a new subscription, after a licence has ended, comes with a new activation key, at the price displayed on that day.

Products are delivered exclusively by download: the customer receives by email their activation key and a personal download link. This link is sent as soon as the free trial is activated, or as soon as the first payment is validated when no trial is offered. In case of a technical issue preventing access to the download, the customer can contact: contact@cahierautonome.fr.

The customer is responsible for keeping the downloaded file. The right of use runs for the period covered by the licence. When a Prélèvement Studio or Invoice Studio licence that has not been renewed expires, the studio does not delete the data stored on the customer's device. Prélèvement Studio: reading the logbook and its history, printing, PDFs, spreadsheet exports and backups remain available with no time limit; data entry, validation, restoring a backup, synchronisation, invitations, the text message to the manager, the QR page and inspection mode stop, and the shared logbook kept on VSBG's server is deleted 30 days after the licence ends. Invoice Studio: the studio becomes read-only; backups, PDF and PNG, printing, ZIP, CSV and accounting exports and the CII file remain available.

In accordance with article L221-28 of the French Consumer Code, the customer expressly accepts the immediate execution of the digital content delivery before the end of the legal withdrawal period and expressly waives their right of withdrawal. Therefore, no right of withdrawal may be exercised once the download has started.

Given the nature of digital products and their immediate availability, no exchange or refund request can be accepted after download, and an annual licence period already paid is not refunded. Cancelling an annual licence ends its renewal under the conditions of article 06. However, in case of a technical issue preventing the download or making the file unusable, VSBG undertakes to provide the customer with a new download link or a solution to access the purchased product.

Products sold remain protected by the French Intellectual Property Code. The annual licence grants the customer a right of use for their establishment, for the duration of the licence and within the limits stated on the product page (for example the number of devices). Unless otherwise indicated on the product page, it is forbidden to reproduce, redistribute, resell, publish, share or commercially exploit all or part of the files without prior written authorization from VSBG.

VSBG cannot be held liable for indirect damages resulting from the use of digital products. The customer remains solely responsible for the use they make of the downloaded content.

Personal data collected is processed in accordance with the General Data Protection Regulation (GDPR). Processing terms are detailed in the Privacy policy of the site.

These T&Cs are governed by French law. In case of dispute, an amicable resolution will be sought before any legal proceedings. Failing agreement, the French courts shall have sole jurisdiction.

The validation of the order or subscription implies full and unconditional acceptance of these T&Cs.
